This Sales Prospectus is made available on behalf of settle Group in connection with the proposed transfer of a Social Housing Portfolio within the Hertfordshire area.
This Sales Prospectus has been prepared by Faithorn Farrell Timms LLP (FFT) based on information and opinions provided by settle Group and it is issued on behalf of settle Group in connection with the proposed sale. This Sales Prospectus is being made available by settle Group for information purposes only to those potential counterparties (each a "Counterparty") who following execution of a Non-Disclosure Agreement have been invited to participate in this stage of the project and have been authorised access to this Sales Prospectus. This Sales Prospectus (references to which and to any information contained herein shall be deemed to include any information, whether or not in writing, supplied in connection herewith or in connection with any further enquiries by either FFT or settle Group) is confidential and is made available strictly on the basis of the Non-Disclosure Agreement. Accordingly, this Sales Prospectus must be held in complete confidence and except with the consent of FFT (on behalf of settle Group) must not be copied, disclosed, distributed or otherwise made accessible to any other person or used for any purpose other than in connection with the participation in the tender process for the proposed sale and in accordance with the Non-Disclosure Agreement. Neither the receipt of this Sales Prospectus by any person, nor the supply of any ancillary information, is to be taken as constituting the giving of investment advice by settle Group, FFT or any of their associates or any other advisors to settle Group to any Counterparty. Each person to whom this Sales Prospectus or any such information is made available must make their own independent assessment of such information and after making such investigation and evaluation of the information should take such professional advice as they deem necessary.

settle Group reserves the right without notice to change the procedure for the proposed sale or any of the submissions or any information supplied in relation to or in respect of the sale at its discretion. settle Group reserves the right not to follow up in any way, to negotiate with one or more Counterparties at any time and/or to withdraw from the tender process for the proposed sale. The outcome of the proposed sale is also subject to the approval of settle Group’s Board. No expense incurred by any person in considering and/or responding to the Sales Prospectus or the preparation of a Counterparty's proposal will be reimbursed. All applications, responses, proposals and submissions relating to this Sales Prospectus and/or the proposed sale are made entirely at the risk and cost of the Counterparties. FFT is acting as an advisor to settle Group. Neither it nor any other of settle Group’s advisors will be responsible to anyone other than settle Group for providing advice in connection with the proposed sale and no duty of care shall be owed to any other person.
